Acceptance of terms
By accessing the Paqira website or using Paqira services, you agree to these Terms of Use. If you use the service on behalf of a company or another organization, you confirm that you are authorized to accept these terms for that organization.
If you do not agree to these terms, you should not use the website or services. We may update these terms as Paqira, our service model or legal requirements evolve. The current version will be published on this page, and continued use of the website or services after an update means that you accept the updated terms.
We may change, add, replace or discontinue features, functionality, integrations, limits or other parts of Paqira as the product evolves. Where a change materially reduces the core functionality of a paid service during an active paid period, we will provide reasonable notice where practicable.
When you create an account, the Paqira newsletter is enabled by default and may include product updates, tips and occasional offers. You can disable it at any time in your account profile or unsubscribe using the link in a newsletter message. Essential account, security, billing and legal messages are not affected by this preference.
Use of the service
Paqira may be used for lawful business purposes related to artwork automation, production workflows, integrations, evaluation and related support. You are responsible for the data, files, templates, assets, instructions and other materials that you provide or process through the service.
You are also responsible for ensuring that your users, employees, contractors and other authorized representatives use Paqira in accordance with these terms, applicable law and any agreed order, plan or project scope.
Third-party sign-in services
You may choose to access Paqira using a Google or Microsoft account. Your use of that provider remains subject to its own terms and privacy notice. The provider is responsible for its authentication service, and Paqira does not guarantee that a third-party sign-in service will always be available. We use information received from the selected provider only as described in our Privacy Policy. You are responsible for maintaining access to the provider account used to sign in and for protecting that account against unauthorized use.
Restrictions
You may not:
- make the service available to anyone who is not authorized to use it on your behalf;
- sell, resell, license, sublicense, rent, lease or distribute the service or any part of it;
- use the service to provide a competing platform, service bureau, outsourcing or managed service offering without our written consent;
- copy, modify, frame, mirror or create derivative works from the service, its user interface, documentation or platform content;
- disassemble, decompile, reverse engineer or otherwise try to derive source code, underlying ideas or non-public interfaces from the service;
- bypass usage limits, security controls, authentication, access rules or technical restrictions;
- disrupt, overload, scan, attack or interfere with the service or related infrastructure;
- use Paqira to infringe third-party rights, misuse confidential information or violate intellectual property rights;
- upload or process unlawful, harmful, abusive, misleading, discriminatory, defamatory, offensive or otherwise objectionable content;
- use the service in a way that creates a risk of loss, damage, injury or unlawful conduct.
We may suspend or remove access, content, files or accounts if we reasonably believe that these restrictions are being violated or that action is needed to protect Paqira, our users, third parties or the service.
Ownership and feedback
Paqira retains all rights, title and interest in its software, website, platform, documentation, workflows, interface, design, technology, know-how, templates provided by Paqira and related intellectual property. No rights are granted except those expressly needed for you to use the service under these terms and any agreed plan or project scope.
You retain ownership of your data, production files, product information, artwork assets, templates and other materials that you provide to Paqira. You grant us the limited right to host, process, modify, transmit and display those materials only as needed to provide, secure, support and improve the service, or as otherwise agreed with you.
If you provide suggestions, requests, corrections, ideas or other feedback, we may use that feedback to improve Paqira without owing any payment or obligation to you.
Customer data
We apply reasonable administrative, technical and organizational safeguards designed to protect the security, confidentiality and integrity of customer data. No online service can be guaranteed to be completely secure, so you should only provide files and information that you are authorized to share and process through Paqira.
Our handling of personal information is described in our Privacy Policy.
Evaluation access
If we provide free, beta, demo or evaluation access, it is provided for testing and assessment only, unless we agree otherwise in writing. Evaluation access may be limited, changed or ended at any time.
A free license may not be used for commercial, professional or revenue-generating purposes, including work performed for an employer, customer or other third party, unless we expressly agree otherwise in writing. Commercial use requires an appropriate paid license.
Data, files, configurations or customizations created during evaluation access may be deleted or become unavailable after that access ends unless you purchase or agree to continue the relevant service, or export the data where export is available. Beta, demo and evaluation services are provided as-is to the maximum extent permitted by law.
Paid services
Some Paqira services, licenses, implementation work, custom development, support or integrations may be paid. If you purchase paid services, you agree to pay the applicable fees, taxes and charges according to the agreed order, plan, invoice or payment terms.
The Automation plan includes up to 10,000 automation runs during each 12-month paid period. Each execution of a script or workflow through Paqira counts as one automation run. If a workspace exceeds this allowance, we may charge an additional usage fee for further runs. We will communicate the applicable fee before charging it.
Unless otherwise agreed in writing:
- except for stated usage-based charges, fees are based on the purchased service, license, scope or plan, not actual usage;
- we may change our fees, rates, pricing model or plan structure from time to time; changes will not affect an already purchased paid period and will apply to a later purchase or renewal after reasonable advance notice;
- payment obligations are non-cancelable once the relevant paid period, project stage or service scope has started;
- paid fees are non-refundable except where required by law or expressly agreed by us;
- purchased quantities, seats, modules or service scope cannot be reduced during the active paid period;
- taxes, duties, levies and similar government charges are your responsibility unless they are included in the stated price.
Failure to pay amounts when due may result in suspension or termination of access to paid services.
Automatic renewal and saved payment methods
Eligible paid plans are set to renew automatically for successive annual periods when automatic renewal is enabled for the workspace. The workspace owner is the payer and authorizes Paqira and its payment provider to store a payment method credential and initiate future off-session charges for those renewals without the owner being actively present in the payment flow.
The renewal charge is determined using the net price for the relevant plan in effect when the renewal is processed, plus any applicable taxes calculated from the billing location and tax information available at that time. Pricing changes apply only to a later purchase or renewal and will be communicated with reasonable advance notice where required by law.
The workspace owner may disable automatic renewal in workspace settings at any time before a renewal is processed. Disabling automatic renewal does not cancel, shorten or refund the current paid period. If a renewal payment is declined, requires additional authentication or otherwise fails, the plan is not renewed until payment is completed, and access may expire at the end of the current paid period.
Keeping automatic renewal enabled confirms permission for Paqira to initiate the renewal charges described above. The workspace owner is responsible for keeping the saved payment method and billing information current. We may send billing, renewal, payment failure or authentication notices to the account email address.
Availability and liability
We aim to provide Paqira with reasonable care and skill, but no software, integration or automation workflow is guaranteed to be uninterrupted, error-free or suitable for every production scenario. You are responsible for reviewing and approving generated artwork, output files, workflow results and production use before relying on them commercially.
Except as expressly agreed in writing, Paqira is provided without warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability, to the maximum extent permitted by law.
To the maximum extent permitted by law, Paqira and its affiliates, contractors and licensors will not be liable for lost profits, lost revenue, lost goodwill, lost data, production delays, business interruption or indirect, incidental, special, consequential, punitive or similar damages.
To the maximum extent permitted by law, our total liability related to the service is limited to direct damages and will not exceed the amount paid by you for the affected paid service during the twelve months before the event giving rise to the claim. For free, beta, demo or evaluation access, our liability is limited to the minimum amount permitted by applicable law.
Term and termination
These terms apply from the date you first access the website or use the service and continue while you use Paqira or have an active account, plan, project or other service relationship with us.
Either party may terminate a paid service according to the applicable order, plan or written agreement. We may suspend or terminate access if you materially breach these terms, fail to pay amounts when due, misuse the service, create legal or security risk, or become subject to insolvency, liquidation or similar proceedings.
After termination, your right to use the affected service ends. Sections intended to survive termination, including ownership, restrictions, payment obligations, liability limits, confidentiality-related obligations and dispute-related provisions, will continue to apply.
